Licensing Agreement

Introduction

Greetings! A content publisher ("the Publisher") has reached out because they loved something you posted on social media. Casual Fridays Inc. ("we" or "us") is assisting the Publisher in obtaining a license from you ("you" or "the Creator") for the works indicated in the message to be used by the Publisher and its affiliated brands.

In consideration of granting this license, the Creator's Work could be featured by the Publisher, its affiliated brands, or third-party agents authorized to act on their behalf. The Publisher will make reasonable efforts to provide attribution and credit where possible, subject to platform, layout, and creative constraints.

BY ACCEPTING THE TERMS AND CONDITIONS BELOW, YOU ENTER INTO A BINDING LEGAL AGREEMENT WITH US. PLEASE READ THIS LICENSING AGREEMENT CAREFULLY BEFORE ACCEPTING.

Licensing Terms

In consideration of the possibility of featuring your original image(s), photo(s), video(s), name, social media username, design(s), logo(s), mark(s), and/or paraphrased statements (collectively, the "Creator's Work"), you grant the following rights:

1. Grant of License
   You grant Casual Fridays Inc., the Publisher, and its affiliated brands (e.g., Marriott International), a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, fully paid, sublicensable, and transferable right and license to use, distribute, publicly display, transmit, reproduce, and create derivative works of the Creator's Work for any purpose, including marketing, advertising, and promotional use.
   1. This license includes but is not limited to, publication on websites, social media platforms, print materials, digital advertising, and other promotional media, as well as sublicensing these rights to third-party agents authorized by the Publisher.
2. Scope of Use
   The Creator's Work may be used by the Publisher, its affiliated brands (e.g., Marriott, Hilton, etc.), and authorized agents (e.g., Casual Fridays Inc.) to promote the Publisher's or brand's products, services, or properties.
3. Exclusivity
   This agreement does not restrict you from using or licensing the Creator's Work elsewhere.
4. Representation and Warranties
   By accepting this Licensing Agreement, you represent and warrant that:
   1. You are the sole creator and owner of the Creator's Work.
   2. You have the full rights and authority to enter into this agreement.
   3. The Creator's Work does not infringe on any third-party rights, including copyright, trademark, or privacy rights.
   4. Any identifiable individuals in the Creator's Work have given consent for its use, or you are the legal guardian of any minors depicted.
   5. You are at least 18 years of age and capable of entering into legally binding agreements.
5. Waiver of Claims and Compensation
   You waive any rights to compensation, royalties, or additional payments now or in the future for the use of the Creator's Work by the Publisher, its affiliates, or agents. You agree not to bring any claims, lawsuits, or actions against the Publisher, affiliated brands, or Casual Fridays regarding the use of the Creator's Work.
6. Modifications
   The Creator's Work may be cropped, edited, or adapted for creative purposes, provided that such modifications do not compromise its integrity. Modifications will not misrepresent or disparage the Creator's Work or its intended message.

Dispute Resolution

By accepting this agreement, you agree that any disputes shall be resolved exclusively in the courts located in [Insert Relevant Jurisdiction], under the laws of [Insert Relevant State]. Any disputes arising out of or related to this Licensing Agreement shall first be resolved through good faith negotiations between the parties. If such negotiations fail, the parties agree to submit the dispute to mediation administered by a mutually agreed-upon mediator. If mediation does not resolve the dispute, the parties agree to binding arbitration under its rules in Collin County, Texas.

Judgment on the arbitration award may be entered in any court having jurisdiction. Litigation may only be pursued if both mediation and arbitration efforts have been exhausted. The laws of Texas shall govern this agreement.

Indemnification

You agree to indemnify and hold harmless Casual Fridays, LLC, the Publisher, its affiliated brands, and their respective directors, officers, employees, and agents from any claims, damages, or expenses arising from your breach of this agreement or the use of the Creator's Work as permitted herein.

Acceptance

You agree to this Licensing Agreement by responding to our request with #Agree or any equivalent statement indicating your acceptance. By accepting this Licensing Agreement, you agree to its terms by responding with #Agree or any equivalent written acknowledgment indicating your consent. Such response will constitute a legally binding agreement under applicable e-signature laws, including the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) or any equivalent laws in the relevant jurisdiction.
